Experience

Grace is a corporate lawyer specialising in complex PRC law transactions in the highly regulated financial sector. She advises many reputable international financial institutions and private equity houses on their strategic investments and M&A transactions in China.  She also advises clients on the “Go Global” strategy of Chinese enterprises in their transactions with overseas financial institutions, including cross-border M&A, joint ventures as well as other financial business cooperation.


Grace also advises international financial institutions on their daily regulatory and compliance issues. She has very rich experience in advising initiatives on cross-border financial services, overseas investment by Chinese investors and onshore securities investment by foreign investors, foreign exchange control issues, asset management rules, data privacy and cybersecurity issues, disclosure of interest, market manipulation issues, and clearing and settlement issues. .

UBS on its pre-IPO strategic investment in Postal Savings Bank of China

UBS on its pre-IPO strategic investment in China Cinda Asset Management Co. (the first of the big four asset management companies of China that went to IPO)

the Hong Kong Stock Exchange in respect of Shanghai-Hong Kong Stock Connect

RBS, JPM, Morgan Stanley, Credit Suisse, HSBC, CLSA and China Renaissance on their respective securities joint venture projects in China (including new setup, restructuring and/or disposal)

BMO and JPM on their respective strategic investments in trust companies in China

JPM and RBS in respect of restructuring of their respective futures joint ventures in China

Nomura on its investment in New China Life Insurance Co., Ltd.

RBS on its sale of retail banking business of ABN AMRO in Asia

a notable international financial institution on its disposal of interest in a fund management company in China

Lafarge on the merger of Lafarge/Holcim, each of the two groups having a company listed in the A-share market of China

a major PRC-based multinational corporate in its take-over of a Euronext listed financial institution

Reckitt Benckiser on its strategic cooperation with CR Pharmaceutical

Standard Charted, UBS, ABN AMRO and Mizuho on the localisation of their respective banking branches in China
